1. Eligibility
The Great Shakeup (the "Contest") is open to (a) legal residents of the fifty (50) United States and the District of Columbia, and US Territories who are at least twenty-three (23) years old at the time of entry (b) identify as African American ethnicity (c) work in a bar or is a digital home based craftsman and (d) have a valid state issued Driver's license or ID card valid thru September 1, 2025. Employees of GV Industries/Festival Noir and other companies associated with the promotion of the Contest, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to federal, state, and local laws and regulations.

3. Agreement to Official Rules
Participation in the Contest constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.
4. Contest Entry Period
The Contest entry period begins on December 01, 2024 at 12:00 AM PST and ends on December 31, 2024 at 11:59 PM PST PST (the "Contest Period"). Entries that are submitted before or after the Contest Period will be disqualified. Submissions will be
accepted for the duration of the Contest entry period using the following method:

Online: This method of entry will be available by visiting our website (https://thegreatshakeup.com) and following the directions provided to fill out the entry information, and submit.
Limit one (1) entry per person, per email address, and per household for the duration of the Contest Period, regardless of method of entry. Entries received from any person, e-mail address, or household in excess of the stated limitation will be void. All entries become the property of Sponsor and will not be acknowledged or returned.
Entry Requirements
Recipe Requirements: Your recipe must meet the following requirements:
1. Recipe must be expressed in fluid ounces - divided in respective customary measurements (0.5 oz, 1 oz, etc) -Dashes and/or drops in the smallest quantity.
2. The cocktail content must be between 3 oz and 12 oz
3. Entrant can use the spirit of your choice
4. Entrant can use as many ingredients as you like
5. Ingredients must be safe for human consumption and easily explicable
6. Entrant cocktail recipe must be named. The name may not include any copyrights or trademarked material or any retailer's name.
Video Entry Requirements: Your video must meet the following requirements
1. The video cannot be longer than 90 seconds and can be shot on your smartphone or other device
2. The video submission should showcase your craftsmanship through storytelling, knowledge of spirits and your personality.
3. Video cannot contain trademarked, copyrighted, or intellectual property of third parties or third party marks in the background.
4. Video must be an original creation and have not been used in previous media, competitions or other publications
5. Your video submission may not: (a) target people under twenty-one (21) years of age; (b) feature anyone other than entrant; (c) Condone, encourage promote or glamorize under-age, excessive or irresponsible consumption of alcohol products, drunk driving, or behavior considered to be anti-social, illegal, or immoral or suggest that the
consumption of the alcohol as a beverage will lead to social or sexual success; (d) violate anyone else's rights, including their copyrights, trademarks rights or rights of privacy or publicity or reflect poorly on GV Industries/Festival Noir or other brands.
Entrant rights: by entering, you irrevocably (a) grant GV Industries/Festival Noir and each of their agents, licensees, and assigns (collectively, "the rights holders") the unconditional and non-exclusive right and permission to copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit and otherwise use your entry as-is or as-edited in any media throughout the World for any purpose, without limitation and without additional review, compensation, or approval from your or any other party for five (5) years from the date of you submitted the entry: (b) waive any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude the rights holders use of the entry. As outlined above or require any further permission for the rights holders to use the entry: and (c) agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the rights holder on the grounds that any use of the entry or any derivative works, infringes any of your rights as a creator or the entry, including, without limitation, copyrights, trademark rights, and moral rights.
6. Notification of Finalist
On or about January 17, 2025, the Sponsor will select three (3) Finalists from among all eligible entries received. The Sponsor will attempt to notify the potential winner via telephone or email on or about January 24, 2025. If the potential winner cannot be contacted within five (5) days after the date of the first attempt to contact him/her, the Sponsor may select an alternate potential finalist in his/her place based on the same judging criteria from the remaining non-eligible entries. Each finalist may be required to complete and return eligibility form; a liability/publicity release, current W-9; and other necessary forms. GV Industries/Festival Noir reserves the right to disqualify a finalist if he/she does not sign and return necessary forms in the designated time assigned.
7. Final Competition
The final competition will take place on March 24, 2025. During the competition the finalists will compete against each other in a three (3) round elimination bartender challenge. The challenge will be judged according to the criteria disclosed at the competition. The judges will pick one (1) grand prize winner based on judging criteria and scores. The judges decision will be final.
The four (4) finalists will receive: (a) Round trip coach-class flight for one (1) person from an airport close to their home to the final competition (b) Transportation while in competition city. The approximate value of the trip is $1,000. You are responsible for taxes, meals and the cost of other incidental expenses, including income taxes and any and all other expenses not listed in the official rules. You may be required to provide your social security number for tax reporting purposes.
Each potential Grand and First Prize winner will be required to complete, electronically sign and submit a Declaration of Compliance within five (5) days of the date notice or attempted notice is sent, in order to claim his/her spot in competition. If a potential winner cannot be contacted, or fails to submit the Declaration of Compliance within the required time period (if applicable), finalist forfeits spot in competition. Finalists must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner judging criteria.
8. Prizes
Each Finalist will receive (a) Round-trip coach class airfare for one (1) person from an airport close to the finalists home to the final competition. (b) other gifts. Approximate retail value up to $1000
Grand prize winner: one (1) grand prize winner will receive up to $5000 in combination of dollars and/or prizes. From GV Industries/Festival Noir and partners. Additional details will be provided at time of award.
Any prize details not specified above will be determined by GV Industries/Festival Noir in its sole discretion. The actual value of the trips will vary depending on various factors, including date of booking, point of departure and dates of travel. A prize may not be transferred and must be accepted as awarded. You may not request cash or a substitute prize. However, GV Industries/Festival Noir reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason. As determined by GV Industries/Festival Noir, in its sole description. You must travel on the dates specified by GV Industries/Festival Noir, once travel documents are issued, travel agreements cannot be changed. If you cannot travel on the dates specified by GV Industries/Festival Noir, you will not be able to move forward in the contest.
Media Exposure:
All finalist except where prohibited, by participating in the competition, you agree that the rights holders and any media attending events related to the competition may use your name, likeness, voice, opinions, photographs, your video submission, event related audio-visual footage, recipe, biographical information, state of residence, and/or any other record of your participation in the contest for promotional purposes in any press releases, advertisements, television, radio, film, documentary, internet, social media, or in any publication or media without further payment or consideration and to license the right use such intellectual property to others. You may be required to sign additional releases regarding publicity.
The grand prize winner will be featured in punch editorial articles on social media and printed in various editorials.
9. General Conditions
In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Contest and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.
10. Release and Limitations of Liability
By participating in the Contest, entrants agree to release and hold harmless the
Sponsor, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the Released Parties) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, the incorrect downloading of the application, the processing of entries application downloads or in any Contest-related materials; or (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Contest or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Contest, and in no event shall the entrant be entitled to receive attorney's fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
11. Disputes
Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually through binding arbitration, without resort to any form of class action, and exclusively by the appropriate court located in Los Angeles County, California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of California, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than California.
